UGC TERMS & CONDITIONS AGREEMENT

By placing an order for User-Generated Content (UGC) services, you (the Client) agree to the following Terms & Conditions set forth by BEYMANOV LLC (the Creator).

1. SERVICES & DELIVERABLES

The Creator agrees to provide the Client with a UGC video based on the selected package and any applicable add-ons.

  • Video Length: 30s, 60s, or 90s
  • Delivery Format: MP4 (unless otherwise agreed)
  • Turnaround Time: Standard (3-5 business days) or Rush Delivery (24-48h) if selected

Any additional revisions, edits, or requests outside the agreed-upon scope may result in extra charges.

2. PRICING & PAYMENT TERMS

  • All payments must be made in full before production begins.
  • Prices are listed on the order form and may be subject to change at any time.
  • Rush Delivery fees apply for expedited orders.
  • No refunds will be issued once work has commenced.

3. USAGE RIGHTS & LICENSING

The Client receives a standard license for organic use unless Exclusive Rights are purchased.

✅ Standard UGC License (Included)

  • The Client can use the video for organic social media, brand websites, and internal marketing.
  • The Creator retains full ownership of the content and may reshare the video on their portfolio or social media.

🔒 Exclusive Rights License (+$100 Add-On)

  • The Client may use the content for paid ads, commercial promotions, and unlimited distribution.
  • The Creator forfeits any rights to reuse or reshare the content.

Regardless of licensing, the Client may NOT:
 ❌ Use the content for illegal activities, misleading advertising, or harmful purposes.
 ❌ Alter the content to misrepresent the Creator’s statements or image.
 ❌ Feature the content on pornographic websites, adult entertainment, escort services, or any sexually explicit material.
 ❌ Transfer the content to third parties without written approval from the Creator.

📌 The Creator reserves the right to refuse service to any Client who fails to adhere to these terms.

4. REVISIONS & EDITS

  • NO EDITS are included in the base price.
  • Additional revisions beyond the agreed-upon scope will incur a fee.
  • Revisions that require a full reshoot will be considered a new order.

5. DELIVERY & DEADLINES

  • Standard delivery is 3-5 business days from the date of payment.
  • Rush orders (24-48h) are available for an additional fee.
  • The Client is responsible for providing a clear script/creative brief/product/material to avoid delays.

6. CANCELLATION & REFUND POLICY

  • No refunds once production has begun.
  • If the Client cancels before work starts, a partial refund may be issued at the Creator’s discretion.
  • If the Creator cannot fulfill the order, a full refund will be provided.

7. LIABILITY & BRAND COMPLIANCE

  • The Client confirms they have the legal rights to use all brand assets, logos, and materials provided.
  • The Creator is not responsible for legal claims, fines, or damages resulting from how the Client uses the content.
  • The Client agrees to indemnify and hold the Creator harmless against any claims, liabilities, or legal disputes arising from the misuse of the content.
  • The Creator reserves the right to refuse any project that conflicts with personal values, ethical considerations, or legal requirements.

8. RIGHT TO REFUSE SERVICE & LEGAL ACTION AGAINST MISUSE

The Creator reserves the right to refuse, cancel, or revoke service at any time if the Client fails to adhere to these Terms & Conditions.

If the Client misuses the Creator’s content in a way that:
 ❌ Harms the Creator’s reputation (e.g., false claims, misleading edits, deceptive marketing).
 ❌ Associates the Creator with illegal, unethical, or offensive material (e.g., hate speech, scams, pornographic content, or politically sensitive campaigns).
 ❌ Alters the Creator’s statements or image in a way that misrepresents their intent.

➡️ The Creator retains the right to take legal action, including but not limited to:

  • Issuing a cease-and-desist letter to demand content removal.
  • Filing a DMCA takedown request against platforms hosting the misused content.
  • Pursuing financial damages for reputational harm, lost opportunities, or defamation.
  • Publicly disassociating from the content if it is used in a misleading or unethical manner.

📌 By agreeing to these terms, the Client acknowledges that misuse of the content may result in legal consequences and financial liability.

9. AGREEMENT & ACCEPTANCE

By submitting an order, the Client acknowledges they have read, understood, and agree to these Terms & Conditions.
